Terms of Service

These terms apply when you buy, download or use Pragma, the desktop app for Windows and macOS that runs a team of AI agents on your own computer. Please read them before you buy.

1. Who we are

Pragma is made and sold by Systo AI (“Systo AI”, “we”, “us”). In these terms, “Pragma” means the desktop application, its updates, its documentation and this website at trypragma.xyz. “You” means the person or organisation that buys or uses it.

2. Orders, payment and Freemius

Our order process is conducted by our online reseller Freemius. Freemius is the merchant of record for all our orders. Freemius takes your payment, calculates and collects any sales tax or VAT, issues your receipt and invoice, and processes refunds. The charge on your statement shows Freemius, not Systo AI. Your purchase is also covered by Freemius's terms, which apply alongside these terms.

3. Price

Pragma is sold as a monthly plan: Starter US$9, Pro US$19 or Advanced US$39 a month. A plan renews every month until you cancel it; cancelling stops the next payment, and the plan keeps working to the end of the month already paid for. Advanced is also sold for life, at US$1,999 paid once, which does not renew. Copies installed before Pragma went on sale keep receiving updates without a licence key. The price shown at checkout is the price you pay; depending on where you live, sales tax or VAT may be added or included, and is shown before you pay. We may change the price for future purchases. A change never affects a purchase already made.

4. Your licence

When your payment completes you receive a licence key. Subject to these terms, we grant you a personal, non-exclusive, non-transferable licence to install and use Pragma on computers that you own or control, for your own personal or business purposes. A monthly plan's licence lasts while the plan is paid; a lifetime licence is perpetual. What each plan includes, such as Pragma Live meeting hours and your own domains, is shown on the pricing page.

The licence key is what unlocks the download and future updates. You may use it on more than one of your own machines. You may not:

• publish, sell, share or give away your licence key, or let people outside your household or organisation use it;
• resell, rent or sublicense Pragma, or offer it as a hosted service to others;
• remove or work around the licence check or any other technical limit in the app;
• use Pragma to break the law or the terms of any service it connects to.

Parts of Pragma are built on OpenMausBot by Milind Soni and other open-source software. Those components remain under their own licences (including the Apache License 2.0), which ship with the app, and nothing in these terms limits the rights those licences give you.

5. Updates

Your purchase includes the updates we publish for Pragma. The app checks for updates with your licence key and installs them when you choose. We decide what goes into each release and may add, change or remove features over time. We do not promise that any particular feature, platform or third-party integration will be added or remain available.

6. AI agents, your accounts and your computer

Pragma runs AI agents on your computer. Depending on how you set it up, an agent can read and write files, run commands, operate apps and use accounts you connect. Please understand the following before you use it:

• You bring the model. Pragma works with AI tools you already have, such as the Claude or Codex command-line tools, or a model running on your own hardware. Your use of those tools and any subscription for them is between you and their provider, under their terms. Pragma does not include or resell access to them.
• You stay in charge. Pragma asks for approval before actions you mark as needing it. You are responsible for what you approve, for the permissions you give each agent, and for the accounts and data you connect.
• AI makes mistakes. Agent output can be wrong, incomplete or unexpected. Check anything important before relying on it, and keep backups of files that matter.
• Connected apps. If you connect third-party apps (for example email or calendars), those connections are also governed by the terms of those services and of the connection provider described in our privacy policy.

7. Refunds

Pragma comes with a 30-day money-back guarantee. Refunds are processed by Freemius. The details, including how to ask, are in our refund policy. When a purchase is refunded or charged back, the licence key for that purchase stops unlocking downloads and updates.

8. Acceptable use

You agree not to use Pragma to harm others: for example to send spam, to gain unauthorised access to systems or accounts, to create or spread malware, to harass anyone, or to infringe anyone's intellectual property or privacy. We may deactivate a licence key that is used this way, that has been shared publicly, or that was obtained with a fraudulent or stolen payment.

In the community, keep posts about Pragma and in the right place, and do not post advertising, spam, anybody's personal details, or passwords and API keys. The same goes for private messages and images: do not use them to harass anybody, and do not send images you do not have the right to share. The alpha is limited to 50 spots, claimed in order; a spot is not transferable, and we may give it to somebody else if it is misused. We may take down any post, close any room, and remove anybody's access to the community, at our discretion. You keep ownership of what you post, and you let Systo AI show it in the community and use it to improve Pragma.

9. Ownership

Other than the open-source components described above, Pragma and its name, logo, mascot, website and documentation belong to Systo AI. You keep everything you create with Pragma, and your conversations, files and agent work stay on your computer unless you choose to send them somewhere, as described in the privacy policy.

10. Warranty disclaimer

We work hard to make Pragma reliable, but apart from the guarantees in these terms and in the law that cannot be excluded, Pragma is provided “as is” and “as available”, without warranties of any kind, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not promise that Pragma will be uninterrupted or error-free, or that it will work with every third-party tool or version.

11. Limitation of liability

To the fullest extent the law allows, Systo AI is not liable for any indirect, incidental, special or consequential loss, or for any loss of data, profits or business, arising from your use of Pragma or from actions taken by AI agents you run or approve. Our total liability for any claim related to Pragma is limited to the amount you paid for it. Nothing in these terms limits liability that cannot be limited by law, and nothing affects your statutory rights as a consumer.

12. Ending the licence

You can stop using Pragma at any time. We may end your licence if you seriously or repeatedly break these terms. If we do, the app you have installed may stop receiving updates. Sections 9 to 11 and 13 continue to apply after the licence ends.

13. Governing law

These terms are governed by the laws of the Republic of the Philippines. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in your local courts.

14. Changes to these terms

We may update these terms from time to time, for example when we change how Pragma works or when the law changes. The date at the top shows the latest version. Changes do not apply retroactively to a purchase you have already made.
